You may need to register for an account to access some parts of our Services. You agree to provide accurate and complete information and keep your account details up to date. You are responsible for safeguarding your password and for all activities that occur under your account.

3. User Conduct

You agree not to use the Services to:

• Upload or transmit any illegal, harmful, or abusive content
• Interfere with the operation of the Services or any user's enjoyment of the Services
• Attempt to gain unauthorized access to any part of the Services

• AI Limitations: Outputs generated by AI features may be inaccurate or incomplete and should be reviewed by qualified personnel. You are responsible for verifying AI-generated content and for all decisions made in reliance on such content.

6. Limitation of Liability

To the fullest extent permitted by law, Carelyze will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the Services; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the Services.

7. HIPAA; Business Associate Obligations

To the extent the Services involve the creation, receipt, maintenance, or transmission of Protected Health Information ("PHI") on your behalf as a covered entity or another business associate, we will enter into a Business Associate Agreement ("BAA") and comply with applicable requirements of HIPAA and its implementing regulations. You agree not to submit PHI to the Services unless a BAA is in place. We do not use PHI to train generalized machine learning models.

8. Indemnification

You agree to indemnify, defend, and hold harmless Carelyze and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Santa Clara County, California.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any changes by updating the "Last Updated" date at the top of these Terms. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
